Advice on buying base system or upgrade

I may be in a postition soon to upgrade what i have, this is my current spec Epox 4PAC3+ http://tinyurl.com/5x9ul 2GB RAM P4 2.4 (800FSB) ATI 9600 Pro (AGP) Various IDE & SATA Hard Drives Pioneer 110D NEC Optiarc AD 7173A DVD-RW Antec SX1030 Case http://www.2cpu.com/articles/16_2.html Antec True Power 2.0 550W PSU http://tinyurl.com/c2gxm Creative Sound Blaster 5.1 sound card I'm very happy with my CRT (i know it's old) monitor, my current ATI 9600 Pro graphics does me for what i need but i suspect i will be forced into PCI-E route given i'll be getting new mainboard and i'm happy with my sound card. So i need a new system that will consist of new mainboard RAM (again i suspect my old ram won't work in new mainboard) Min of 2GB (XP Pro SP2), new video card (but nothing fancy) and the fastest CPU I can get as i do a fair bit of capping and encoding, I would love to keep this case and PSU for cost reasons. So what route should i take? should i buy cheap base unit and put my bits in it or go down route of buying separate mainboard/ram/mainboard/video card, I'n NOT flush and have a budget of about £300 (told u i was skint) Many thanks for reading, and look forward to your replies.
